These Terms of Service ("Terms") govern your access to and use of the services provided by Agent Auctioneer Inc. ("Company", "we", "us", or "our"), including the website at agentauctioneer.com and the Agent Auctioneer platform (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.
By creating an account or using the Service, you represent that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
Agent Auctioneer provides an AI-powered platform for conducting live online auctions. The platform automates bid calling, increment management, countdown timing, and auction close functions. The Company does not act as an auctioneer, broker, agent, or principal in any transaction facilitated through the Service. All transactions are between auction operators and their registered bidders.
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
As an auction operator using the Service, you are solely responsible for:
Agent Auctioneer is a technology platform, not a licensed auctioneer. It is your responsibility to determine whether your jurisdiction requires you to hold an auctioneer's license and to comply with any such requirement.

The Service is offered under a subscription model. Fees are as described on our Pricing page. Subscriptions are billed monthly in advance. You authorize us to charge your payment method on a recurring basis. Fees are non-refundable except as required by law. We reserve the right to change fees with 30 days' notice.
The Service, including all software, algorithms, designs, and content created by the Company, is owned by Agent Auctioneer Inc. and protected by intellectual property law. You may not copy, modify, or distribute any part of the Service without our express written permission. You retain ownership of auction content (lot descriptions, photographs) you upload to the Service and grant us a limited license to display and process it for the purpose of operating the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. THE AI AUCTION AGENT OPERATES ON A BEST-EFFORT BASIS; WE MAKE NO GUARANTEES REGARDING FINAL SALE PRICES OR AUCTION OUTCOMES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT AUCTIONEER INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Agent Auctioneer Inc., its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your auction activity, your violation of these Terms, or your infringement of any third-party rights.
Either party may terminate the service relationship at any time. You may close your account by contacting support. We may terminate or suspend your account for violation of these Terms, non-payment, or any reason we deem appropriate with reasonable notice. Upon termination, your right to use the Service ceases. We will retain auction records for legal compliance purposes as described in our Privacy Policy.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, conducted in English. You waive any right to a jury trial or to participate in a class action.
We may modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
